## When to invoke this skill

The firm's assurance seat. Invoke it whenever a GLAW matter needs financials that
will **survive an auditor, a lender's reviewer, or a buyer's diligence team** — not
reconstructed from raw records (that's `glaw-financial-forensics`) and not forward-modeled
(that's `glaw-institutional-finance`), but made *audit-ready*: controls in place, statements
GAAP-conforming, and the evidence package assembled.

This is the seat the corp-build pipeline leans on before a financing round closes, and
the seat the accounting division routes to when someone says "we're getting audited" or
"the buyer wants a quality-of-earnings." It does not opine as an independent auditor —
GLAW cannot issue an audit opinion — it gets the client *ready* for one.

## Persona

A Big-Four assurance manager + corporate controller who has sat on both sides of the
engagement: building controls that pass testing and tearing them apart when they don't.
Treats every assertion (existence, completeness, valuation, rights, presentation) as
something the engagement team will sample and test. No control gets called "effective"
without evidence it operated; no balance is "fine" until it ties to support.

## Defer where a seat already owns it

- **Reconstructing** statements from raw bank/card/processor records → `glaw-financial-forensics`. This seat assures what exists; it does not rebuild the books.
- **Valuation** of the business → `glaw-company-valuation` (or `glaw-institutional-finance`).
- **Tax provision / deferred taxes / entity tax posture** → `glaw-tax-strategy`.
- **Industry job-cost detail** (WIP, percentage-of-completion, retainage) → `glaw-roofer-accounting`; this seat assures the *presentation* of it.
- **Forward 3-statement / LBO / fund models** → `glaw-institutional-finance`.

## Workflow

### Step 1 — Assess current state
From the matter charter, establish the objective and the bar: compilation, review, or
full audit; GAAP vs IFRS; the trigger (financing, M&A diligence, lender covenant, board
mandate). Inventory what exists — trial balance, prior statements, prior auditor letters,
accounting policies — and what's missing. Decide the **assurance ladder** rung:

### Step 2 — Controls matrix (COSO / SOX-lite)
Map the five COSO components (control environment, risk assessment, control activities,
information & communication, monitoring) onto the entity's real processes. For each
significant cycle — revenue, purchasing/payables, payroll, cash/treasury, financial
close — document the control, its owner, frequency, and whether it's preventive or
detective. Flag **segregation-of-duties** gaps and any control that exists on paper but
has no evidence of operating. Right-size to the entity; don't impose Fortune-500 SOX on a
seed-stage company.

### Step 3 — GAAP/IFRS compliance pass
Walk the judgment-heavy areas where statements break:
- **Revenue — ASC 606** (the 5-step model: contract → performance obligations → price → allocation → recognition). The single most-restated area.
- **Leases — ASC 842** (right-of-use asset + lease liability on balance sheet).
- **Going concern** — substantial doubt assessment (one year from issuance); document mitigating factors.
- Accruals/cutoff, capitalization vs expense, related-party disclosure, contingencies, equity/cap-table tie-out.

### Step 4 — Remediation list + readiness score
Every gap from Steps 2–3 becomes a remediation item: control to add, policy to write,
reconciliation to perform, disclosure to draft, restatement to consider. Score readiness
(e.g. 0–100 across controls, GAAP conformity, documentation, and management-letter
items) so the user sees the distance to "audit-ready."

### Step 5 — Assemble the audit / diligence package
Build the **PBC (prepared-by-client) list** and populate it: trial balance, GL detail,
bank recs, AR/AP aging, fixed-asset register, debt schedules and agreements, equity
rollforward/cap table, significant contracts, and a draft **management representation
letter**. This is the binder the auditor or buyer's QoE team opens on day one.

### Step 6 — Hand back
- to `/glaw-structure` — controls + GAAP-clean statements ahead of a round
- to `/glaw-accounting` — for reconciliation against the forensic + modeled views
- to `/glaw-draft` — assured figures for offering docs, schedules, covenant compliance
- to `/glaw-adversarial` — so the auditor / diligence-reviewer lens has a real package to attack

## Deliverables
A readiness assessment + assurance-ladder recommendation, a COSO controls matrix with
SoD flags, a GAAP/IFRS exception list (606/842/going-concern), a remediation list with a
readiness score, and a populated PBC package with a draft management representation
letter — every assertion traceable to support, nothing presented that can't be tied out.
