# Draft Legal Opinion

Use this skill when formulating, analyzing, and drafting formal structured legal opinions under Vietnamese law for corporate governance, commercial transactions, regulatory compliance, and technology systems.

## Core Rules

- never issue an external or legally binding opinion without qualified human legal counsel (licensed practicing attorney) review and explicit HITL sign-off
- cite exclusively official gazette (*Công báo*) enactments, active statutory provisions, and published Supreme People's Court precedents (*Án lệ*)
- explicitly detail all underlying factual background, documents examined, evidentiary limitations, and conditional assumptions
- surface and evaluate legal ambiguities, conflicting statutory provisions, or unsettled administrative interpretations with clear risk ratings
- enforce strict segregation of duties between internal advisory workpapers and authorized corporate representation or contract execution
- treat citizen identification numbers, banking details, personal data, and confidential transaction records as restricted data; mandate masking per policy
- adhere to statutory interpretation hierarchies: *lex superior derogat legi inferiori*, *lex specialis derogat legi generali*, and *lex posterior derogat legi priori*

## Suggested Process

### 1. Questions Presented Framing
Formulate precise, numbered legal questions defining the specific statutory determinations requested, affected parties, and jurisdictional scope (Vietnam).

### 2. Factual Background & Entity Context
Review material factual circumstances, corporate entities, commercial objectives, and transaction history. Catalog all agreements, licenses, and evidentiary documents inspected.

### 3. Statutory Authority Research
Identify and verify governing Codes, Laws, Decrees, and Circulars against official gazette (*Công báo*) records and current in-force dates.

### 4. Legal Issue Analysis
Apply structured statutory analysis to each question presented, evaluating specialized law (*lex specialis*) rules, contractual validity, and liability exposure.

### 5. Supreme People's Court Precedents Review
Examine binding judicial precedents (*Án lệ*) published by the Supreme People's Court and relevant appellate decisions to confirm judicial interpretation consistency.

### 6. Executive Opinion Formulation
Synthesize substantive determinations into an unambiguous executive opinion, establishing the statutory validity, compliance posture, and overall risk level.

### 7. Reliance Conditions & Limitations
Formulate explicit qualifying assumptions, document completeness conditions, non-retroactivity limitations, and non-litigation caveats.

### 8. Action Plan + HITL Approval Gate
Draft a prioritized remedial implementation roadmap and assemble the opinion package for licensed human legal counsel peer review and formal sign-off.

## Failure Modes

- **Informal source citation**: Relying on unverified secondary summaries or blogs instead of official gazettes (*Công báo*). Mitigation: reject informal materials; cite enacted laws and decrees with gazette numbers.
- **Missing reliance conditions**: Formulating opinions without documenting factual assumptions and documents examined. Mitigation: mandate explicit assumption blocks and qualification schedules.
- **Unauthorized external issuance**: Releasing legal opinion to counterparties or external parties without licensed attorney review. Mitigation: lock output in draft status and require human token sign-off.
