# Legal Drafting

Draft clear, precise legal documents from scratch or adapt existing templates to specific situations.

> **Disclaimer:** This skill assists with drafting and structuring legal documents. Output should be reviewed by a licensed attorney before use in real legal matters. Laws vary by jurisdiction.

## When to Use

- "Draft a [contract / NDA / clause / power of attorney / letter]"
- "I need a template for..."
- "Add a clause to this contract that covers..."
- "Rewrite this clause to be more favorable to [party]"
- "Translate this legal text into plain language (or vice versa)"

## Document Types

### Contracts & Agreements
- Service agreements (freelance, consulting, agency)
- Non-Disclosure Agreements (NDAs) — unilateral and mutual
- Non-Compete / Non-Solicitation agreements
- Partnership and joint venture agreements
- License agreements (software, content, IP)
- Employment contracts and offer letters
- Terms of Service and Privacy Policies

### Corporate Documents
- Corporate minutes and board resolutions
- Shareholders agreements
- Share subscription agreements
- Powers of attorney (general and specific)
- Corporate certifications

### Notices & Letters
- Formal demand letters
- Termination notices
- Breach of contract notices
- Cease and desist letters

### Real Estate (basic)
- Letter of intent
- Option agreements
- Lease clauses

## What I Need From You

- **Document type** and purpose
- **Parties**: names, roles, and whether it favors one side
- **Key terms**: payment, duration, deliverables, obligations, jurisdiction
- **Legal tradition**: civil law (Latin America, Europe, etc.) or common law (US, UK, etc.)
- **Language**: English, Spanish, or other (specify)
- **Any specific clauses** you know you need or want to avoid

## Drafting Principles I Follow

- **Plain language** where possible — ambiguity creates disputes
- **Every obligation clearly assigned** — who does what, by when
- **Defined terms** used consistently throughout
- **Carve-outs and exceptions** explicit, not implied
- **Dispute resolution** clause included by default
- **Governing law and jurisdiction** always specified
