# Managing Fund Formation Documents

Reviews fund offering documents with LPA terms, side letter analysis, and compliance requirement extraction.

## When To Use

- Reviewing or onboarding a new fund's formation package (LPA, PPM, subscription agreements, side letters)

## Inputs To Gather

- **LPA (Limited Partnership Agreement)** — full executed version including all schedules and exhibits
- **PPM (Private Placement Memorandum)** — including risk factors, use of proceeds, and subscription procedures
- **Subscription agreement(s)** — investor commitment documents with representations and warranties
- **Side letters** — all supplemental agreements granting investor-specific rights or modifications
- **Capital commitment schedule** — aggregate commitments by investor with unfunded amounts
- **Fund structure memo** (if available) — GP/LP entity chart, feeder/parallel fund relationships
- **Specific review focus** — identify whether the review targets economics, governance, compliance, or full formation package

## Workflow

1. **Catalog the document suite** — Inventory all formation documents received. Confirm completeness: LPA, PPM, subscription agreement, side letters, GP entity formation documents, and any amendments. Flag missing documents before proceeding.

2. **Extract LPA economic terms** — Identify and tabulate:
   - Management fee rate, calculation basis (committed vs. invested capital), step-down schedule, and offset provisions
   - Carried interest percentage, hurdle/preferred return rate, catch-up allocation
   - Distribution waterfall structure (whole-fund vs. deal-by-deal) with each tier clearly defined
   - Clawback mechanism — GP obligation, escrow percentage, trigger events, and true-up timing
   - Organizational expense cap and broken-deal expense allocation

3. **Map governance provisions** — Extract:
   - GP removal triggers (for-cause vs. no-fault) and required vote thresholds
   - Key person identification and consequences of a key person event
   - LPAC composition, consent matters (conflicts, valuation, fee waivers), and quorum requirements
   - LP protective provisions — supermajority consent items, amendment restrictions
   - Fund term, extension periods, and early dissolution triggers

4. **Analyze side letters against base LPA** — For each side letter:
   - Catalog every provision that modifies, waives, or supplements the LPA
   - Flag fee reductions, co-investment rights, enhanced reporting, transfer exceptions, and opt-out rights
   - Identify MFN (Most Favored Nations) clauses and determine which provisions are subject to MFN election
   - Check for conflicts between side letters — where one investor's rights contradict another's or the base LPA
   - Note any side letter provisions that require operational implementation (custom reporting, separate account treatment)

5. **Verify cross-document consistency** — Confirm alignment across the full suite:
   - Defined terms used identically in LPA, PPM, subscription agreement, and side letters
   - Capital commitment amounts match between subscription agreements and the commitment schedule
   - Fee and waterfall descriptions in the PPM accurately reflect LPA terms
   - Investor eligibility representations in subscription agreements satisfy the offering exemption (Reg D 506(b) vs. 506(c)) [VERIFY]
   - Securities legends and transfer restrictions are consistent

6. **Extract compliance and operational obligations** — Compile:
   - KYC/AML documentation requirements and verification deadlines
