# Managing Fundraising Processes

Structures PE/VC fundraising with LP outreach, DDQ completion, and closing documentation.

## When To Use

- Launching a new fund and building the LP outreach pipeline
- Completing or reviewing due diligence questionnaires (DDQs) from prospective LPs
- Preparing fundraising materials (pitch decks, data rooms, teasers)
- Tracking LP commitments, follow-ups, and closing timelines
- Coordinating across legal, compliance, IR, and fund admin during a raise

## Inputs To Gather

- **Fund details**: fund name, strategy (buyout, growth, venture, secondaries), target size, hard cap, GP commitment amount, management fee and carry structure
- **Current raise status**: amounts closed to date, pipeline by stage (contacted, in DD, soft-circled, committed), target close dates (first close, final close)
- **LP target list**: prospect names, type (pension, endowment, FoF, family office, sovereign wealth), contact details, prior relationship history, allocation constraints
- **Existing materials**: prior PPM/offering memorandum, pitch deck, track record summary, case studies, team bios
- **DDQ inventory**: list of received DDQs, completion status, recurring question themes, prior DDQ responses to reuse
- **Legal/regulatory context**: fund jurisdiction, registration status (e.g., SEC/state), placement agent arrangements, [VERIFY] applicable marketing rule constraints (Rule 506(b) vs. 506(c), non-US regimes)

## Workflow

1. **Define fundraise parameters**
   - Confirm target fund size, hard cap, minimum LP commitment, GP co-invest
   - Document fee terms: management fee rate, step-downs, carry percentage, preferred return, clawback provisions
   - Identify key selling points: differentiated strategy, track record metrics (gross/net IRR, MOIC, DPI, TVPI), team continuity

2. **Build and segment the LP pipeline**
   - Categorize prospects by tier (anchor/strategic, core, opportunistic)
   - Map each prospect's allocation cycle, investment committee cadence, and decision timeline
   - Flag re-up LPs from prior funds vs. new relationships
   - Assign IR/fundraising team coverage and set outreach schedule

3. **Prepare fundraising materials**
   - Draft or update the fund teaser (1–2 pages), marketing presentation, and detailed track record exhibit
   - Populate the virtual data room: PPM, LPA (draft or final), side letter precedents, financial statements, compliance policies, ESG/DEI documentation
   - Ensure all materials comply with applicable marketing rules [VERIFY]

4. **Manage DDQ completion**
   - Maintain a master DDQ response library organized by topic (firm overview, investment process, operations, compliance, ESG, cybersecurity, key person provisions)
   - For each incoming DDQ: cross-reference against the master library, draft new responses for novel questions, route specialized questions to compliance/legal/operations
   - Track DDQ submission deadlines and follow-up requests
   - Flag any questions requiring disclosure of pending litigation, regulatory actions, or key person departures for senior review

5. **Track pipeline and closings**
   - Maintain a fundraise tracker with columns: LP name, status, commitment amount, close target, side letter requests, outstanding items
   - Monitor soft circles converting to hard commitments; escalate stalled prospects
   - Coordinate closing mechanics: subscription agreement execution, KYC/AML documentation, wire instructions, countersignature
   - Track side letter negotiations — catalog concessions by type (MFN, fee discounts, co-invest rights, excuse/exclude rights, reporting)

6. **Execute closings**
   - Confirm minimum commitment thresholds for first close
   - Coordinate with fund counsel on final LPA execution, side letter signatures, and closing certificate delivery
   - Issue capital call notice for organizational expenses and initial management fee [VERIFY] timing requirements per LPA terms
   - Distribute closing confirmation and welcome materials to admitted LPs

## Output

- **Fundraise status report**: pipeline summary by stage, total commitments vs. target, close schedule, at-risk prospects
- **DDQ tracker**: completion status matrix, outstanding items, recurring themes for master library updates
- **LP commitment schedule**: committed amounts, side letter concession summary, closing documentation checklist per LP
- **Post-close action items**: remaining pipeline for subsequent closes, IR follow-up plan, data room updates needed

## Quality Checks

- Verify all track record figures (IRR, MOIC, DPI) tie to audited financial statements or approved performance reporting
- Confirm commitment amounts and fee terms are consistent across the PPM, LPA, subscription documents, and side letters
- Ensure DDQ responses are internally consistent — no contradictions between firm-level and fund-level answers
- Validate that LP contact and KYC information is current and complete before each close
- Check that marketing materials do not contain forward-looking performance projections or guarantees [VERIFY] per applicable regulatory framework
- Flag any LP that triggers concentration limits, ERISA thresholds (25% plan asset test), or bad actor disqualification screening [VERIFY]
