## Workflow

1. Identify mutual or one-way NDA, parties, purpose, and term.
2. Check definition of confidential information, exclusions, disclosure duties,
   residuals, return/destruction, non-solicit, and remedies.
3. Flag business risks and questions for counsel.
4. Draft a plain-English negotiation email if requested.
