description: "Saint-Pierre-et-Miquelon company income tax reference researched in October 2026 from the local tax code. Covers the territorial profit base, ordinary and conditional reduced rates, the annual minimum, loss carryforward limits, formation notifications and profit-return timing. Includes examples separating tax-base rounding from rate eligibility and identifies an obsolete reduced-rate band on the administration summary page. Describes the statutory instalment structure without treating an indexed historical threshold as a verified current figure. Group taxation, restructurings, treaty allocation, special gains, exemptions and independent accountant review remain outside this initial source-cited draft."

# Saint-Pierre-et-Miquelon: company income tax

## Source and scope

This draft uses the [local tax code currently linked by the tax authority](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf). Its filename refers to 4 May 2026, but its cover says updated through 31 December 2025. That mismatch prevents treating the filename alone as proof of a complete May consolidation. The provisions below are individually identified; full amendment reconciliation and independent accountant review remain outstanding.

Article 106 identifies liable legal forms and bodies, including SA, relevant SARL, cooperatives and bodies carrying on profit-making operations. Article 106 ter assimilates SAS to SA for these purposes. Articles 107 and 118 contain exemptions and treatment for other forms. Determine the entity's legal form and tax election before applying company tax; a business registration alone does not settle the regime. [Code articles 106–108 and 118](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

## Territorial profits and losses

Article 109 takes account of profits of enterprises operated in Saint-Pierre-et-Miquelon and profits allocated to the territory under a double-tax agreement. Article 114 addresses a local permanent establishment. These provisions do not establish that every foreign receipt is exempt, or that every foreign company with a local customer has a permanent establishment. Apply the relevant treaty and business facts separately. [Code articles 109 and 114](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

A loss is carried into the following year's profit calculation, with a **EUR 100,000 deduction limit**, and the unabsorbed balance continues into subsequent years under the same conditions. For example, assuming a valid EUR 250,000 carried loss and EUR 150,000 profit before that deduction, EUR 100,000 is deducted, EUR 50,000 remains taxable and EUR 150,000 remains to carry forward. Group and restructuring rules are not included in this example. [Code article 109](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

## Rates and eligibility

The standard rate is **23%**, for financial years beginning from 1 January 2022. Article 113 rounds the taxable profit **down to the nearest EUR 10**. Special gains are referred to articles 22 and 23 and are outside the ordinary-profit examples below. [Code article 113 I](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

For financial years beginning from 1 January 2024, the **15%** rate covers the first **EUR 42,500 of taxable profit per twelve-month period**, if all relevant conditions hold:

- Turnover is **less than EUR 600,000**, adjusted to twelve months where necessary. Exactly EUR 600,000 does not meet that wording.
- Capital is fully paid and continuously at least 75% held by individuals, or by a qualifying company meeting the stated conditions and itself at least 75% held by individuals.
- A specific capital-ownership statement accompanies the profit return.

For the parent of an article 112 ter A tax group, turnover is aggregated across group members. Ownership and turnover therefore require evidence; the reduced rate is not available solely because profit is small. [Code article 113 I(c)–(d)](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

**Source discrepancy:** the [administration's general tax summary](https://www.services-fiscaux975.fr/fr/38.html) still says EUR 38,120. The code's article 113 expressly gives EUR 42,500 from 2024. This draft follows the code and records the outdated summary rather than blending the figures.

## Annual minimum and examples

Article 113 II imposes **EUR 500 annually** where the declared taxable result produces a smaller charge. It excludes article 107 exempt legal persons and a narrowly specified class of local-investor companies holding interests in local mixed-economy companies, for years with no operating or financial receipts. Establish an exemption before using it. The former supplementary contribution in article 113 III was abolished from 1 January 2015. [Code article 113 II–III](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

For an ordinary twelve-month company, no exemption, special gain or credit, and assuming all reduced-rate conditions where indicated:

| Taxable profit before rounding | Eligibility | Calculation | Tax including minimum |
|---:|---|---|---:|
| EUR 0 | Minimum applies | Computed tax below 500 | EUR 500 |
| EUR 2,000 | Reduced rate | 2,000 × 15% = 300; minimum applies | EUR 500 |
| EUR 42,500 | Reduced rate | 42,500 × 15% | EUR 6,375 |
| EUR 60,009 | Reduced rate | 42,500 × 15% + 17,500 × 23% | EUR 10,400 |
| EUR 60,009 | Reduced rate unavailable | 60,000 × 23% | EUR 13,800 |

The minimum replaces a lower calculated amount in these examples; it is not another EUR 500 added to every positive liability. Rate calculations implement article 113 above.

## Notifications, returns and payment

Article 115 requires declarations of existence, changes to constitutional arrangements and conditions of carrying on the business **within one month** of formation or change. Article 116 permits the tax office to require a legal person with local activity or property but no local registered office to appoint a local representative **within ninety days of receiving the request**. This is not an automatic ninety-day period from incorporation. [Code articles 115–116](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

The profit or loss return is due **within three months after year-end**. If no financial year ends during a calendar year, the declaration is due **before 1 April of the following year**. Article 117 requires the article 34 documents plus board/shareholder resolutions or extracts and the special form 2065 statement of distributions. The capital statement for a reduced-rate claim is additional. A sale or cessation brings immediate assessment under article 117 bis and article 104. [Code articles 113, 117–117 bis](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

Article 246 provides two instalments, **15 March and 15 June**, each one-third of the last assessed annual tax, rounded down to the nearest EUR 10. It applies an indexed prior-assessment threshold: the printed EUR 400 is subject to adjustment with the first income-tax band, so this Guide does **not** certify EUR 400 as the operational 2026 threshold. Follow the current assessment and payment instructions after checking applicability. The balance is collected by assessment roll; monthly payment has a separate regime in article 246 bis. These payment dates do not replace the profit-return deadline. [Code articles 245–246 bis](https://www.services-fiscaux975.fr/files/file/Documentation/2026/CLI_2026-CLI_AU%2004-05-2026.pdf).

## Review boundary

Checked 22 October 2026. Current forms, indexed payment threshold, full amendment history, exemptions, treaty allocation, group rules, special gains, credits, penalties and appeals require further work. Payroll, social contributions, business licence taxes, property taxes and customs are separate obligations. This is a source-cited draft, not comprehensive territory coverage or accountant attestation.
