## Mandated Statutory Clauses

### Pasal 1: Scope of Work & Handover Report (BAST)
"The First Party appoints the Second Party to carry out the work of [Project] in accordance with the specifications in Appendix I. The work is deemed lawfully completed after the First Party signs the Handover Report (BAST)."

### Pasal 2: Payment Rights and Obligations
"Payment is made in stages via bank transfer to the Second Party's account:
a. Down Payment (DP): [Percentage]% after the SPK is signed.
b. Termijn I: [Percentage]% after Milestone 1 is completed and BAST I is signed.

### Pasal 3: Breach of Contract (Wanprestasi) & Waiver of Article 1266 KUHPerdata
"If either party fails to perform its obligations (Wanprestasi / breach of contract), the injured party is entitled to terminate the agreement after issuing written Warning Letters (Surat Peringatan) on two (2) consecutive occasions, each with a 7 (seven) working-day cure period. Both Parties agree to waive the provisions of Article 1266 KUHPerdata to the extent that they require a court decision for such termination."

### Pasal 4: Dispute Resolution
"Any dispute shall be settled by deliberation to reach consensus (musyawarah mufakat) within 30 (thirty) calendar days. If no consensus is reached, both Parties agree to choose legal domicile at the District Court (Pengadilan Negeri) of [Location] / the Indonesian National Arbitration Board (BANI)."
